Compliance by design.
Transparency by default.
Insela UAB operates the Flour Yield ecosystem and is responsible for the FYT crypto-asset framework. This statement explains our current regulatory position, disclosure principles and compliance approach.
Compliance across the Flour Yield ecosystem.
Insela UAB is a company registered in Lithuania and operates the Flour Yield ecosystem. Flour Yield is developing an operating GreenFi model around regenerative agriculture, basalt remineralisation, Enhanced Rock Weathering, environmental data and digital infrastructure.
FYT forms the digital economic layer of this ecosystem. Compliance therefore extends beyond token issuance and includes public disclosures, marketing communications, project claims, counterparties, data protection and the use of appropriately authorised service providers where regulated activities are involved.
Insela UAB
Governance, project development, counterparties and ecosystem operations.
FYT
MiCA Title II positioning, disclosures, holder rights and marketing.
ERW & Projects
Evidence-based environmental claims, MRV readiness and project transparency.
Users & Data
Fair communication, risk disclosure, privacy and data protection.
A MiCA Title II crypto-asset.
Insela's current regulatory position is that FYT is designed and structured as a crypto-asset falling within Title II of Regulation (EU) 2023/1114 on Markets in Crypto-Assets — that is, a crypto-asset other than an asset-referenced token or e-money token.
FYT may provide utility functions within the Flour Yield ecosystem, including payments, access, rewards and future GreenFi-related functionality. However, the term “utility token” is not used as the sole or primary description of FYT's regulatory position.
No Stability Reference
FYT is not designed to maintain a stable value by reference to basalt, carbon credits, fiat currency, another crypto-asset or any basket of assets or rights.
No Fixed Asset Claim
FYT does not provide a contractual right to redeem tokens for a fixed quantity or value of basalt, carbon credits, fiat currency or another asset.
No Equity Or Profit Rights
FYT does not grant ownership or voting rights in Insela UAB, Balkan Basalt or project assets and does not create a contractual entitlement to corporate profits or revenues.
No Ownership Of CDR Assets
FYT does not represent ownership of verified carbon removal, carbon credits, certificates or future ERW project revenues.
Disclosure before promotion.
Insela's policy is that FYT disclosures and marketing communications should be fair, clear, understandable and not misleading and should remain consistent with the applicable crypto-asset White Paper.
Formal Disclosure
The FYT Crypto-Asset White Paper is the primary formal disclosure document regarding FYT, including its characteristics, rights, technology and risks.
Fair & Clear Marketing
Public communications concerning FYT should be identifiable as marketing where applicable and must not contradict the applicable White Paper.
Material Changes
Significant new factors, material mistakes or material inaccuracies capable of affecting the assessment of FYT are assessed for disclosure and White Paper update obligations under applicable MiCA rules.
Issuer activity and crypto-asset services are different.
Issuing or operating the ecosystem around FYT does not by itself authorise Insela to provide regulated crypto-asset services that require a MiCA CASP authorisation.
Issuer & Ecosystem Operator
Insela develops the Flour Yield ecosystem, coordinates projects and administers FYT within its applicable regulatory perimeter.
Authorised Providers Where Required
Custody, exchange, operation of trading platforms, execution, advice or other regulated crypto-asset services are to be provided by appropriately authorised or otherwise legally entitled providers where required by applicable law.
Risk-based AML, CFT and sanctions controls.
Insela applies a risk-based approach to financial-crime compliance where its activities and counterparties bring relevant AML, CFT, sanctions or related requirements into scope.
Identity
KYC and counterparty identification where appropriate.
Sanctions
Screening and restrictions where required by law or policy.
Source Of Funds
Additional checks for higher-risk transactions or placements.
Monitoring
Risk-based review of relevant relationships and transactions.
Environmental claims must be evidence-based.
Enhanced Rock Weathering is a central development objective of Flour Yield. However, applying basalt to land does not by itself demonstrate or verify carbon removal.
Any quantified ERW or carbon-removal claim requires appropriate material characterisation, baseline design, monitoring, carbon accounting and qualified Measurement, Reporting and Verification.
Characterisation
Site evidence
Field data
Qualified assessment
Only where supported
Clear information. Responsible treatment.
Fair & Clear Information
Communications should accurately describe FYT, its risks, limitations and current development status.
GDPR & Data Protection
Personal data is processed in accordance with applicable privacy and data-protection requirements, including the GDPR where applicable.
Systems & Protocols
Insela seeks to maintain appropriate technical, organisational and security controls for the systems under its responsibility.
Compliance evolves with the project.
Flour Yield and FYT are evolving. Insela therefore reviews its public documentation, regulatory position and operational processes as the ecosystem develops and as applicable regulatory guidance changes.
Where a significant new factor, material mistake or material inaccuracy is capable of affecting the assessment of FYT, Insela will assess whether a modification of the applicable crypto-asset White Paper and related communications is required under MiCA.
Until a modified White Paper has been duly notified and published in accordance with applicable requirements, the currently published version remains the applicable formal disclosure document.
Understand the risks.
FYT is a crypto-asset and may lose part or all of its value. It may not always be transferable or liquid, and ecosystem functionality may be modified, delayed or discontinued subject to applicable law and disclosed project conditions.
FYT is not a bank deposit and is not covered by EU deposit-guarantee schemes or investor-compensation schemes applicable to traditional financial instruments.
